How financial due diligence works

We agree which findings could change a decision, then test the relevant evidence. This can include sales consistency, recurring margin, customer balances, cash movements and liabilities. Unresolved matters are listed with their possible significance and the information needed to close them.

A practical example

If margin improved sharply before sale, compare monthly results with supplier invoices and later credit notes. A genuine operational improvement has a different implication from a cost that happened to fall outside the period.

How is this different from a valuation?

Due diligence tests the evidence and assumptions behind a transaction. A valuation uses stated assumptions to estimate value. Findings from one can inform the other.
